The following prerequisites are required:

End User Licence Agreement (‘EULA’) for V-Wrap Adviser

1.	V-Wrap Adviser is an internet application that is and is subject to this non-exclusive, non-transferable licence (‘EULA’) from its owner (‘Licensor’). By installing or using V-Wrap Adviser, You agree to this EULA.

2.	V-Wrap Adviser provides various features, information, functionality and services (‘Features’) and communicates with the Licensor’s server computer (‘Server’) over the internet. The Features available to You depend on the type of service (‘Service’) You are enrolled for, and a Service may have terms and conditions additional to this EULA. Contact Your enrolling financial adviser for information about Service options.

3.	You may:
	3.1.	install the V-Wrap Adviser on one or more computers, and
	3.2.	use it for the Service.

4.	You must:
	4.1.	keep Your user name, password and Service ID confidential; 
	4.2.	provide and maintain at Your own expense a computer and internet connection (‘System’) suitable for V-Wrap Adviser;
	4.3.	ensure that Your System complies with any technical or operational prerequisites, specifications or directions notified to You from time to time;
	4.4.	regularly back up Your computer and all important data;
	4.5.	keep Your System secure and free of viruses, Trojans and other malicious code; and
	4.6.	promptly install any upgrade, update, patch or fix released for V-Wrap Adviser.

5.	You must not:
	5.1.	decompile, reverse engineer or disassemble V-Wrap Adviser (except as allowed by law);
	5.2.	remove or alter any notices, branding, logos or trademarks contained in V-Wrap Adviser;
	5.3.	redistribute it (or information obtained via it) to anyone else, in whole or part or in any form, for reward or otherwise;
	5.4.	share V-Wrap Adviser or the Service with anyone else;
	5.5.	use it (or information obtained via it) for any purpose or in any way not expressly permitted by this EULA;
	5.6.	use it (or information obtained via it) to provide a service, advice or benefit to anyone else;
	5.7.	use or attempt to use it except via the commands and controls presented by its graphical user interface; 
	5.8.	attempt to access or use the Server except via V-Wrap Adviser; or
	5.9.	do anything that compromises the security or stability of the Server or the Service.

6.	You acknowledge that:
	6.1.	Certain Features may be limited or unavailable to Your Service (and may be ‘grayed out’ in V-Wrap Adviser’s interface.) This is not a fault in V-Wrap Adviser.
	6.2.	In particular, certain Features are not suitable for use by persons who do not have the appropriate levels of skill in respect to investment activities.  Accordingly, access to certain Features in V-Wrap Adviser are not made available to Sponsored Intermediaries who do not have the appropriate levels of understanding and skill. Contact Your enrolling adviser for more information about the Features in V-Wrap Adviser. 
	6.3.	Conditions on the internet are beyond the Licensor’s control, and may disrupt Your Service.
	6.4.	The Service may not be continuously available or fault free.
	6.5.	Features may change from time to time.

7.	Intellectual property rights
	7.1.	Trademarks used in or in relation to V-Wrap Adviser or the Service belong to their respective owners. 
	7.2.	Subject to clauses 7.1 and 8.1, all existing and future intellectual property rights in and relating to V-Wrap Adviser and the Service are and will remain the exclusive property of the Licensor (even in the case of enhancements or modifications made at Your request or suggestion).

8.	Third party / Information Provider rights
	8.1.	The Service includes access to financial market data, news and research (“Market Data”) supplied to the Licensor under licence from third party data providers (“Information Providers”). 
	8.2.	The Licensor provides the Market Data subject to the conditions set out at www.Praemium.com from time to time. 
	8.3.	By using the Service You agree to comply with all of those conditions.
	8.4.	You acknowledge that the provision of the Market Data may be subject to the agreement of the Information Providers and subject to change without notice. 
	8.5.	You acknowledge that Information Providers may require You to execute a separate agreement in order to receive the Market Data (or components of it).

9.	You must not:
	9.1.	use the Market Data to establish, maintain or provide (or assist in establishing, maintaining or providing) the ability to trade in financial product or a market for trading in financial products which is not authorised by law; or
	9.2.	use the Market Data to create or derive indices in respect of financial products; or
	9.3.	use the Market Data to create financial products or to quote or derive prices in respect of financial products; or
	9.4.	use the Market Data to create financial information for supply to third parties unless specifically authorised by the Licensor to do so.

10.	This EULA terminates automatically and immediately if it is or becomes unlawful for You to use V-Wrap Adviser or the Service.

11.	Any Provider may:
	11.1.	terminate this EULA by notice to You if You breach it;
	11.2.	terminate this EULA by 30 days’ notice to You at any time;
	11.3.	suspend or discontinue the Service at any time;
	11.4.	modify V-Wrap Adviser or the Service as it sees fit;
	11.5.	assign its interest in this EULA to a third party – 
without liability to You.

12.	Liability and warranties
	12.1.	As far as the law allows, all implied warranties, terms and conditions are excluded from this EULA.
	12.2.	If a warranty, term or condition is implied in this EULA and may not be excluded, then it is included, but (where permitted by law) Your remedy for breach of it is limited, at the Licensor’s option:
		(a)	in the case of goods:
			(i)	replacement of the goods or supply of equivalent goods;
			(ii)	repair of the goods;
			(iii)	payment of the cost of replacing the goods or buying equivalent goods; or
			(iv)	payment of the cost of repairing the goods, and 
		(b)	in the case of services:
			(i)	resupply of the services again, or
			(ii)	payment of the cost of resupply of the services.
	12.3.	Subject to clause 12.2 You:
		(a)	indemnify Licensor (Præmium Australia Pty Ltd ACN 117 611 784),  and all employees, agents and related entities (within the meaning of the Corporations Act) of either of them (‘Providers’) against all liability, loss or damage (including indirect or consequential loss and loss of profits) they may incur or suffer as a result of (a) Your breach of this EULA or (b) Your wilful, unlawful or negligent act or omission.
		(b)	release the Licensor and the entity that provided You with access to V-Wrap Adviser(the ‘Providers’) from, and indemnify them against, all direct and / or indirect, special, economic or consequential loss or damage or loss of revenue, profits, goodwill, bargain or opportunities or loss or corruption of data or loss of anticipated savings that You or anyone else may incur or suffer in any way (even if caused by a Provider’s negligence or where a Provider knew or should have known of the possibility of such loss or damage) arising from Your installation of, use of or reliance on V-Wrap Adviser, or the Service (including reliance on any output, information, data or results), and
	12.4.	This clause 12 survives the termination of this EULA.

13.	This EULA is subject to the laws of Victoria, Australia. Any dispute relating to it must be heard and determined in the courts of Victoria, Australia and their appeal courts.

System Requirements

This software has been built on the Microsoft.Net framework (version 3.5 SP1) which must be installed on the user’s computer before V-Wrap Adviser will run. The primary deployment/installation of the application employs Microsoft ClickOnce technology, users will be given a web page to install the application, users need not require administrative rights to install the application but firewall and proxy server setting may need to be altered for this to work (see below). Using ClickOnce technology the application will also check for any updates for new software every time it is run.

V-Wrap Adviser only supports PCs running Windows 2000 and higher with Internet Explorer 6.0 or higher. For optimal performance, we recommend running V-Wrap Adviser on machines with a minimum of 1 Gigabytes of RAM and on more recent operating systems. The application may work on slower modem connections but is intended for users who have broadband connection to the internet.

Where a direct connection to the Internet is not available (for example in a firewall environment) or a proxy server sits in-line between the user’s computer and the V-Wrap Adviser servers the user will need the network administrator to allow:

- DIRECT http (port 80) and https (port 443) access to *.praemium.biz

- OR configure your proxy server to bypass request to *.praemium.biz

- OR configure your proxy server to NOT require authentication for request to *.praemium.biz

- Your firewall or proxy server must not blocked file with the following extension in order for ClickOnce installation to work: “.manifest”, “.deploy”, for example “xyz.dll.deploy”, “abc.exe.manifest”, “abc.exe.deploy”
